Many German companies create either a company themselves or create a Joint Venture with an existing company in the USA. Due to the difference in culture, the law and the way of doing business, many newly created companies or joint ventures fail often after a few years or even months.


Another issue is that the German usually is stuck with the loses because the Americans prefer to create a Limited Liability Company (LLC). An LLC pursuant to USA law will be recognized by the German tax authorities only under strict conditions as "Kapitalgesellschaft". Consequently, the losses will not be transferred to Germany.


It is therefore important for a company expanding into the United States to consult, inform and analyze the pitfalls, risks and opportunities BEFORE setting up a company or joint venture.

Immigration Law

The U.S. immigration law entails the filing of petitions and or applications in order to obtain legal status in the United States for a temporary stay as well as a stay for a longer period, to study, work, or live in the United States permanently.

The enforcement of a foreign judgment can be challenging, especially if one is not very familiar with the other country's legal system.  We advise and assist our clients in the recognition process of foreign judgments and their enforcement.

 

Probate and Family Law

As a law office that focuses on international la international probate and family law is another area of law we are focusing on.  Special expertise is required and can be provided by us with respect to international probate and family law matters, especially in relation to Germany.  For example, if you are inheriting assets, that are located in Germany and you have completed the probate process in the United States, this does not automatically mean that you can obtain the assets located in Germany.  In fact, you would have to go through the German probate process again.  This can be very burdensome and extensive; knowledge of the other country's probate law is required to be successful.  Due to our competency, we can represent you in the U.S. as well as in Germany.

Problems also arise in international divorce matters.  Where should you file for divorce, in the United States or in another country?  Which law is applicable?  Can you take your child with you or can you ensure that your child's stays in the United States and does not move back to where one parent may come from?  These questions may concern you when considering a divorce and the appropriate steps need to be planned.
